By accessing our website at dhivin.com or engaging Dhivin's services, you confirm that you have read, understood, and agree to be bound by these Terms of Service.
These Terms constitute a legally binding agreement between you ("Client") and Dhivin Digital Agency ("Dhivin", "we", "us", "our"), registered and operating in Mohali, Punjab, India.
If you are entering into this agreement on behalf of a business entity, you represent that you have the authority to bind that entity. If you do not accept these terms, please do not use our services.
Dhivin provides the following digital services, subject to individual project agreements:
Each engagement begins with a signed Statement of Work (SOW) or Service Agreement that defines deliverables, timelines, and fees. These Terms govern all such agreements.
Any changes to the agreed scope of work must be submitted in writing. Additional work outside the original scope will be quoted and billed separately.
To enable us to deliver our best work, clients agree to:
⚠️ Delays caused by the client's failure to provide materials or approvals on time may result in project timeline extensions and additional charges at our standard rates.
Invoices unpaid after the due date attract a late fee of 2% per month. Work may be paused on accounts with outstanding balances of 14+ days. Dhivin reserves the right to withhold deliverables until full payment is received.
The advance payment is non-refundable once work has commenced. For monthly retainers, cancellation with 30 days written notice is required — no pro-rated refunds are offered for the notice period.
All fees are exclusive of applicable taxes (GST at 18%). GST will be added to all invoices as required by Indian tax law.
Upon receipt of full payment, all custom deliverables created exclusively for the client (website code, app code, creative assets, written content) become the property of the client.

Unless explicitly agreed otherwise in writing, Dhivin reserves the right to display completed work in our portfolio, case studies, website, and marketing materials. Client may request confidentiality with written notice before project launch.
Clients are responsible for obtaining licenses for stock photos, fonts, plugins, or other third-party materials used in their projects.
Both parties agree to keep confidential all non-public information shared during the course of the engagement.
Dhivin will not disclose client business strategies, financial information, customer data, trade secrets, or other proprietary information to any third party without prior written consent, except as required by law.
This obligation continues for 3 years after the termination of our engagement. For certain sensitive engagements, a separate Non-Disclosure Agreement (NDA) may be required.
⚠️ Dhivin's total liability to any client shall not exceed the total fees paid by that client in the 3 months preceding the claim.
Dhivin shall not be liable for:
Marketing results depend on many external factors including market conditions, competition, and client-side execution. All performance projections are estimates, not guarantees.
Clients may terminate monthly services with 30 days written notice. Project-based work may be terminated at any point, but all work completed to date will be invoiced at the agreed rate.
Dhivin reserves the right to terminate an engagement with immediate effect if:
All outstanding invoices become immediately due. Dhivin will deliver all paid-for deliverables within 14 days. Access to client accounts managed by Dhivin will be transferred within 7 business days.
Our services are provided "as is" with no warranty of specific business outcomes. We do not guarantee specific search rankings, ad performance metrics, social media growth rates, or revenue outcomes, as these depend on numerous external factors beyond our control.
In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. Please contact us at support.dhivin@gmail.com with a description of the issue.
If direct negotiation fails within 30 days, parties agree to seek resolution through a mutually agreed mediator before pursuing legal action.
These Terms are governed by the laws of India. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of Mohali, Punjab.
These Terms, together with any signed Statement of Work or Service Agreement, constitute the entire agreement between the parties and supersede all prior communications.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
Failure to enforce any provision of these Terms does not constitute a waiver of the right to enforce that provision in the future.
Neither party shall be liable for delays caused by circumstances beyond their reasonable control, including natural disasters, government actions, pandemics, or infrastructure failures.
We reserve the right to update these Terms. Material changes will be communicated to active clients via email. Continued use of services constitutes acceptance of updated terms.
